FUTURE GOODS LLC AND ITS SUBSIDIARIES AND AFFILIATES ("FUTURE GOODS," "WE," "US," OR "OUR") OFFER THIS WEBSITE TO YOU SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS ("TERMS"). PLEASE READ THESE TERMS CAREFULLY. BY USING THIS WEBSITE, YOU AGREE TO ABIDE BY EACH OF THE TERMS SET FORTH BELOW.

1. Acceptance of Terms

By accessing or using this website (the "Site"), creating an account, or placing an order, you agree to these Terms and to our Privacy Policy. If you place an order or create an account, you will be asked to confirm your agreement by checking a box or clicking a button. If you do not agree to these Terms, do not use this Site.

2. Changes to Terms

Future Goods may update these Terms from time to time. When we do, we will post the revised Terms on this Site and update the "Last Updated" date at the top. If we make material changes, we will also provide notice by email to registered users or by a prominent notice on the Site before the changes take effect. Your continued use of the Site after revised Terms take effect constitutes your acceptance of them. Changes will not apply retroactively to orders placed or disputes that arose before the change.

3. General Use Restrictions

Future Goods authorizes you to view and download the materials at this Site only for your personal, noncommercial use, provided that you retain all copyright and other proprietary notices contained in the original materials on any copies of the materials. You may not modify the materials at this Site in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose, except as permitted below. The materials at this Site are protected by copyright and other intellectual property laws to the extent such protection is available under applicable law, and any unauthorized use of any materials at this Site may violate copyright, trademark, and other laws. If you breach any of these Terms, your authorization to use this Site automatically terminates and you must immediately destroy any downloaded or printed materials.

Business Use. Notwithstanding the foregoing, if you purchase products from Future Goods, you may download, print, and share materials from this Site, including Safety Data Sheets, product labels, and technical specifications, within your organization as reasonably necessary to purchase, store, handle, and use Future Goods products.

4. Prohibited Conduct

You agree not to, and not to attempt to:

  • use the Site for any unlawful purpose or in violation of these Terms;
  • use any robot, spider, scraper, or other automated means to access, copy, or collect data from the Site without our prior written permission;
  • use content from the Site to train, develop, or improve any artificial intelligence or machine learning model without our prior written permission;
  • interfere with, disrupt, or overburden the Site or its servers or networks, or introduce viruses or other harmful code;
  • gain unauthorized access to any part of the Site, other accounts, or any systems connected to the Site;
  • impersonate any person or entity, or provide false information when creating an account or placing an order;
  • purchase products for resale in violation of any agreement with Future Goods, or circumvent any purchase limits; or
  • copy, frame, or mirror any part of the Site without our prior written permission.

Future Goods may suspend or terminate your access to the Site, cancel orders, or close accounts if we believe you have violated these Terms.

5. Purchases and Product Information

Terms of Sale. All purchases made through this Site are subject to our Terms of Sale, which govern orders, payment, shipping, returns, and product warranties. If these Terms conflict with the Terms of Sale regarding a purchase, the Terms of Sale control.

Product Information. Future Goods attempts to describe and display its products accurately. However, product descriptions, images, specifications, colors, pricing, and availability may contain errors or may not be complete or current. Product images may be illustrative and may differ from the actual product or packaging. Future Goods reserves the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

Pricing Errors and Order Acceptance. Your order is an offer to purchase. Future Goods may accept or decline any order in its discretion. If a product is listed at an incorrect price or with incorrect information due to a typographical or system error, Future Goods may refuse or cancel any order placed for that product, even after the order has been confirmed and your payment method charged. If your payment has been processed for a cancelled order, we will issue a refund.

6. Safety Data Sheets

Safety Data Sheets (SDS) for Future Goods products are available on this Site at https://www.futuregoods.com/resources and upon request at admin@futuregoods.com. The SDS supplied with or for a product is the authoritative source of hazard, handling, storage, and emergency information for that product, and controls over any other description on this Site. You are responsible for obtaining the current SDS before handling or using a product, making it available to your employees as required by law, and following all applicable safety laws and regulations. If you cannot access an SDS electronically, contact us and we will provide a paper copy at no charge.

7. AI-Generated Content

Use of Artificial Intelligence. Some content on this Site, including certain text, images, graphics, and other materials, may have been created or edited with the assistance of artificial intelligence (AI) tools. Future Goods reviews such content, but AI-assisted content may contain errors or omissions, and images may be illustrative and not precisely depict actual products, packaging, or results. AI-assisted content is provided for general informational purposes only. For authoritative product information, refer to the product label, technical specifications, and Safety Data Sheet for that product, or contact us.

AI Assistants. If the Site offers a chat or virtual assistant feature that is powered by AI, you will be informed when you are interacting with an automated system rather than a person. Responses from AI assistants may be inaccurate or incomplete, do not constitute professional, safety, or legal advice, and do not modify these Terms, the Terms of Sale, or any product warranty. Do not rely on an AI assistant for safety, handling, storage, or emergency information; consult the applicable Safety Data Sheet. 8. User Submissions and Feedback

User Submissions. If you submit reviews, comments, questions, photos, or other content to the Site ("Submissions"), you grant Future Goods a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, publish, and display your Submissions in connection with the Site and Future Goods' business. You represent that you own or have the right to share your Submissions, that they are accurate, and that they do not violate any law or third-party right. Reviews must reflect your genuine experience with the product. Future Goods may remove any Submission at any time.

Feedback. If you send us suggestions, ideas, or feedback, Future Goods may use them without restriction or compensation to you.

9. Copyright Complaints

FUTURE GOODS, the FUTURE GOODS logo, and all other product names, service names, taglines, and logos contained within this Site are trademarks of Future Goods or one of its subsidiaries or affiliates and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Future Goods. All third-party product and service names, taglines, and logos used herein are trademarks of their respective owners and should not be used without the consent of the applicable trademark holder.

11. Third-Party Links

This Site may contain links to websites, services, or content operated by third parties. Future Goods does not control, endorse, or assume responsibility for any third-party sites, including their content, products, privacy practices, or availability. Your use of any third-party site is at your own risk and is subject to that site's terms and policies.

12. Privacy

Your use of this Site is also governed by our Privacy Policy, which explains how Future Goods collects, uses, and shares information about you, including information collected through cookies and similar technologies. By using the Site, you acknowledge that you have read the Privacy Policy.

13. Electronic Communications and Signatures

As a buyer on the Site, you agree to receive notices, disclosures, terms and conditions of any agreements, communications, legal and regulatory notices, Safety Data Sheets (SDS), and documents ("Communications") electronically. Future Goods may send Communications by email or by posting notices on the Site. You agree that all Communications provided electronically satisfy any legal requirement that such Communications be in writing, and to be bound by any affirmation, assent, or agreement you may transmit through this Site. When you click on "I agree," "I consent," or another similarly worded button or entry field, such agreement will be legally binding and enforceable as the legal equivalent of a handwritten signature.

Your Rights Regarding Electronic Communications. You may withdraw your consent to receive Communications electronically at any time by contacting us at admin@futuregoods.com. Withdrawing consent may prevent you from placing orders or using certain features of the Site, but will not affect the validity of Communications provided before withdrawal. You may request a paper copy of any Communication at no charge by contacting us at admin@futuregoods.com. To access and retain electronic Communications, you need a device with internet access, a current web browser, a valid email address, and software that can open PDF files. You agree to keep your email address current with us. If our hardware or software requirements change in a way that affects your ability to access Communications, we will notify you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FUTURE GOODS OR ITS SUBSIDIARIES, AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST DATA, LOST REVENUE, OR LOST PROFITS, ARISING OUT OF OR RELATED TO THIS SITE, ANY THIRD-PARTY WEBSITE, OR ANY INFORMATION CONTAINED ON THIS SITE OR ANY OTHER WEBSITE, UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF FUTURE GOODS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FUTURE GOODS' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FUTURE GOODS THROUGH THE SITE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. LIABILITY RELATING TO PRODUCTS PURCHASED THROUGH THE SITE IS GOVERNED BY THE TERMS OF SALE.

16. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Future Goods and its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your violation of these Terms; (b) your Submissions; (c) your misuse of the Site; or (d) your violation of any law or the rights of any third party. Future Goods may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with that defense.

17. Governing Law and Venue

These Terms and any dispute arising out of or related to them or to the Site are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. You agree that any such dispute will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

18. General Provisions

Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No Waiver. Future Goods' failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Entire Agreement. These Terms, together with the Privacy Policy, the Terms of Sale, and any other policies referenced in them, constitute the entire agreement between you and Future Goods regarding the Site and supersede any prior agreements on that subject.

Assignment. You may not assign or transfer these Terms without Future Goods' prior written consent. Future Goods may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Survival. Provisions that by their nature should survive termination of your access to the Site, including Disclaimers, Limitation of Liability, Indemnification, and Governing Law and Venue, will survive.
